Naomi See is a Director in the Corporate Compliance and Employment Department with over 8 years of experience. Notably, she was awarded the Singapore Institute of Legal Education Prize for Best Student in Advanced Corporate Practice in the Singapore Bar Examinations 2015 prior to her admission as an Advocate & Solicitor of the Supreme Court of Singapore in 2016.
She is an experienced and versatile corporate lawyer with over eight years of practice advising businesses on a wide range of corporate governance, compliance, and transactional matters. Her practice involves a wide spectrum of local and international transactional matters including business restructurings, business acquisitions, financing transactions and other general corporate law matters in respect of a diverse range of companies. She regularly works on multinational transactions involving both buy-side and sell-side due diligence and acquisition-related advice in respect of a diverse range of companies. She is skilled in drafting, negotiating, and closing complex and cross-border transactions, as well as advising clients on regulatory, compliance, and risk management issues.
In addition to her corporate & securities practice, Naomi is also an experienced employment and immigration lawyer with a proven track record of providing comprehensive legal services to both individuals and businesses. With deep expertise in employment law, Naomi advises clients on matters including discrimination, harassment, wage and hour issues, workplace policies, employee benefits, labour relations and employment audits conducted by the Ministry of Manpower and the Central Provident Fund Board.

Corporate transactions which Naomi has worked on include:
- Led the APAC restructuring of an international financial management group and coordinated the implementation of the restructuring across 14 jurisdictions.
- Acting for a multinational pharmaceutical company on the restructuring of their business in Singapore. In particular, she lead the team in the obtaining of the regulatory approvals which were necessary for effecting the restructuring.
- Advising on a private equity firm’s investment into a local fintech, including the negotiating and drafting of the key investment documents including the share subscription agreement and shareholder agreement.
- Acting for a Japanese natural gas distribution company in its investment into a local liquid natural gas distributor. In particular, she lead the legal due diligence exercise for this project, identifying potential risks and liabilities and advising the client on her findings to facilitate the making of informed investment decisions.
- Advising on the series A investment into a local consumer research and data analytics start up, including the negotiating and drafting of the key investment documents including the share subscription agreement, shareholder agreement and the terms of the series A preference shares.
- Acted for a waste management operator in the sale of minority shareholding to a waste management enterprise. This included the negotiating and drafting of the key investment documents including the share purchase agreement and shareholder agreement.
Naomi has also assisted companies in relation to employment law-related compliance and issues such as:
- Assisted a British financial advice and wealth management company with its immigration law compliance matters and its interactions with the Tripartite Alliance for Fair and Progressive Employment Practices (TAFEP) in order to demonstrate it met the criteria for removal from the TAFEP’s Watch List.
- Assisted a major fashion house in addressing concerns over employee misconduct including but not limited to conduct relating to misuse of company intellectual property, misrepresentation and misuse of the company’s goodwill in the running of a private business, harassment and sexual misconduct.
- Assisted a foreign government’s tourism board with the restructuring of its Singapore workforce.
- Assisted a North American food and beverage chain with their workforce and work pass quota issues during a temporary and short term closure of their premises.
- Assisted a world leading music company with the preparation of mutual separation and release documents following the resignation of their managing director.
